"Alibaba Global E-commerce Challenge" Terms and Conditions

These Terms and Conditions shall apply to the "Alibaba Global E-commerce Challenge" (the "Event"). By participating in this Event, you agree to be bound by these Terms and Conditions.

1. Organiser

Alibaba (China) Technology Co., Ltd., a company incorporated in China with registered office address at No. 699, Wangshang Road, Binjiang District, Hangzhou (the "Organiser" or “Alibaba.com”).

2. Participants

To participate in the Event, you must be a natural person older than 18 years. The Organiser may require you to provide proof that you are eligible to participate in the Event.

You may only submit one application, either as part of a team or as an individual participant, in the Event.

(A participant of the Event, a "Participant").

3. Event Period

The Event begins at 00:00:00 (PST time) in February 2023 and ends at 23:59:59 (PST time) in May 2023 (the "Event Period").

4. Event and Prizes

4.1To participate in the Event, you are required to submit an application on or before 23:59:59 (PST time) 10 March 2023 in accordance with the application rules as set out in the Event page at the URL of http://www.alibabagec.com (the "Event Page") (the "Application").

4.2Participants may be required to provide virtual and/or onsite presentation(s) addressing the topics as the Organiser may decide and inform the Participants, in accordance with the application rules as set out in the Event Page or otherwise informed by the Organiser to the Participants (the "Presentation(s)").

4.3Winners eligible to win the Prizes (as defined below) to be chosen by the Organiser in its sole discretion based on the quality of the Application and performance of the Participant at the Presentation(s) (the "Winner"). The decision of the Organiser in its selection of the Winners is final and no correspondence or discussion will be entered into with any Participant. The Winners will be announced on the Event Page. The Organiser will contact the Winners using the contact information provided by the Winners.

4.4The following prizes will be awarded to the Winners:

4.4.1Travel voucher(s) in the total value of RMB50,000 and an opportunity to interview for a full-time (for final year students) or internship (for 2nd or 3rd-year students) role at AIDC (the "First Prize");

4.4.2Travel voucher(s) in the total value of RMB30,000 and an opportunity to interview for a full-time (for final year students) or internship (for 2nd or 3rd-year students) role at AIDC (the "Second Prize");

4.4.3Travel voucher(s) in the total value of RMB20,000 and an opportunity to interview for a full-time (for final year students) or internship (for 2nd or 3rd-year students) role at AIDC (the "Third Prize"),

subject always to the Organiser's sole discretion to change, modify, cancel or replace the prizes without prior notice and as set out in the Event Page from time to time,

(together, the "Prizes").

4.5The Prizes will be subject to further terms and conditions which will be informed by the Organiser to the Winners.

4.6The Organiser will not be liable to the Winner for any change to the original value or any difference in the relevant product(s) or service(s) being offered as the alternative Prize

4.7The Winners may be required by the Organiser to provide certain information and/or documents for verification purposes to claim the Prizes.

4.8If the Winner(s) cannot be contacted, is not available, or has not claimed the Prize within five days from the announcement date, or fails to provide any information and/or documents as may be requested by the Organiser within the prescribed time period, the Prize will be forfeited (without any compensation or substitute), and the Organiser may choose a new Winner(s) among all other Participants who complied with the Terms and Conditions. The Organiser does not accept any responsibility if the Winner is not able to take up the Prize for any reason whatsoever.

5. Miscellaneous

5.1The Organiser reserves the right to amend these Terms and Conditions as well as to vary or terminate the Event or the Prizes without prior notice. In the event of any dispute, the decision of the Organiser shall be final and binding.

5.2Your eligibility to participate in the Event and/or to be awarded with the Prize shall be determined by the Organiser in its sole discretion. The Organiser reserves the right, at its absolute discretion, to cancel or revoke your right to participate in the Event or benefit from the Prize upon any discovery of your violation of these Terms and Conditions or your dishonest, malicious, fraudulent, unlawful or, in the sole opinion of the Organiser, inappropriate content of your Application or Presentation(s), acts or behavior in the context of your participation in any Event.

5.3Any fraud and/or abuse of the Prize awarded/received under the Event by you (as determined by the Organiser in its sole discretion) will result in the forfeiture of your eligibility to such prize. The Organiser reserves the right to revoke, change or replace the Prize and/or take any legal action in such instances to recover any outstanding amounts without prior notice. The Prize cannot be redeemed for cash, for other gift vouchers, or for products or services of the Organiser. The Organiser shall have no legal liability in relation to any aspects of the Prize(s) including but not limited to their quality, delivery and maintenance.

5.4In the event that the Event is cancelled or suspended by any relevant authorities, or due to a serious network attack, system failure or any other reasons, the Event may be terminated prematurely without notice. Such situation shall constitute a force majeure event and the Organiser shall not be liable for any damages or claims that arise out of the force majeure event.

5.5The Organiser is not responsible for any late, lost, delayed, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or otherwise.

5.6You guarantee that the Content and your participation in the Event do not violate or infringe any rights of third parties and are the object of independent creativity. The Content shall not contain any offensive language, harmful or inappropriate content, rude words or other expressions of an obscene nature (as determined in the sole opinion of the Organiser).

5.7You agree to grant the Organiser and its affiliates a non-exclusive, assignable, worldwide, irrevocable licence, for the full period of any intellectual property rights in your Application and/or Presentation(s) and any related content and/or materials in connection with the Event (“Content”), to use, display, publish, transmit, copy, edit, alter, store, re-format, adopt, modify, actualise, utilise and sub-licence the Content for any purposes that the Organiser may deem appropriate and necessary. You agree that the Organiser may, but is not required to, make your entry and/or publish the Content available on its website and/or any other media, whether now known or invented in the future. You represent and warrant that you have all the rights to grant such licence to the Organiser.

5.8The Organiser may collect personal data from you in relation to the Event. You agree and understand that the Organiser will process your personal data in accordance with the Organiser’s Privacy Policy (which may be amended and updated from time to time). A Winner should provide consent and agree to the Organiser’s use of personal information, such as the Winner’s full legal name, contact number, email address and personal address for the purpose of claiming the Prize.

5.9By accepting to participate in the Event and/or to receive the Prize, the Winner assumes any expenses in which the Winner may incur, except for those included in the relevant Event, as well as any liability arising from the receipt and use of the Prize(s). In addition, the Winner shall be responsible for any taxes arising or expenses not specifically mentioned in these Terms and Conditions (if any).

5.10In case of any discrepancy in the interpretation between the English and the non-English versions of these Terms and Conditions, the English version shall prevail.

5.11To the maximum extent permitted by applicable law, in no event will the Organiser be liable to you for any direct, indirect, special, incidental, exemplary, punitive or consequential loss (including loss of use, loss of data, loss of business or profits) arising out of or in connection with your participation in this Event, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not Promoter has been advised of the possibility of such loss or damage.

5.12The Organiser and/or any of its affiliates shall not be responsible, and shall have no liability to you or any third party for any dispute or claim that arises out of your participation in the Event.

5.13You agree that this Event and these Terms and Conditions are governed, interpreted and enforced by the laws of Hong Kong without regard to its conflict of laws principles. Any and all legal actions, claims or proceedings arising out of, or in connection with this Event must be brought in a court of competent jurisdiction in Hong Kong.
